How to register a Foreign Investment Company in Indonesia (PMA)
A PMA (Foreign Investment Company), is a business entity established in the Republic of Indonesia specifically for foreign investors. It can be fully owned by foreign capital or include partial ownership by a domestic investor.
Upon establishing a PMA, you may apply for a Foreign Investment KITAS (Limited Stay Visa) through your company.
As the director or commissioner, you can legally manage your company with a Kitas.
The steps and price to start your PMA company
- Apply for Company names of 3 words.
- Approval from Board Investment Jakarta (BKPM).
- Endorsement from Minister of Justice Jakarta (AHU).
- Deed of Company Establishment by a Notary
- Approval from the Ministry of Law and Human Rights (MoLHR) of company sponsor / SK Kemenkuham Pendirian Perusahaan
- NPWP Badan Usaha (Tax File Number of Company)
- OSS ( NIB- Business Registration Number, Business Licenses, Location Licenses)
- Processing time to this stage 30 business days.
- Certificate of Company Registration (TDP)
- Permanent Permit (IUT) – from Board Investment
- Environmental Permit (SPPL/Ukl-Upl)
- Price Excluded Building Permit (IMB) or Retribution/Donation to Banjar and/or Village
- Dependent on type of company Estimate IDR. 50,000,000
- For Establishment of the Company, all payments in (I) must be made entirely.
- After the approval from the Minister of Justice is published, then all the payments in (II) must be made.
- All of the Deeds and Permits are published with Bahasa.
- Scanned copy of passport cover and details in color of Share Holder (Director & Commissioner).
- Minimum 2 Share Holder (Director & Commissioner)
- 3 different names of the company (1st, 2nd, 3rd choice) the company name must contain 3 words
- Company Activity (can be more than 1 activity) You can have up to 5 different categories
- Building license (IMB)
- The building tax receipt province / land certificate
- Landlord ID
- Process maximum 6 months PMA
- Once notary certificate and company registration numbers are issued around 30 days. You can then start trading.
- Meanwhile we continue the process for business license and investment kitas at the same time (3 months)
- Operational license must be completed within 2 years from the start of the process.
